Terms of Service

CitySocializer ("CitySocializer," "we," "us," or "our") operates a social networking platform designed to help people discover nearby members and coordinate real-world meetups. These Terms of Service ("Terms") govern your access to and use of the CitySocializer websites, mobile applications, and related online services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.
1. Eligibility and Account Registration
- You must be at least 18 years old and legally capable of entering into binding contracts to use the Services. By creating an account, you represent and warrant that you meet these requirements.
- You agree to provide accurate, current, and complete information during registration and to update that information as necessary to keep it accurate.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use or security breach.
2. Description of the Services
- CitySocializer provides tools that allow members to create profiles, discover and join local "Socials," engage in group chats, share event details, and build community connections in urban environments.
- Hosts can propose and manage gatherings, and participants can RSVP, communicate with other attendees, and coordinate logistics.
- The Services are offered as an online platform only. CitySocializer does not operate as an event promoter or travel provider, and we do not manage or supervise offline gatherings.
3. User Conduct and Community Guidelines
- You agree to use the Services in accordance with all applicable laws and regulations and to respect other members. Harassment, discrimination, hate speech, threats, illegal activity, or other abusive conduct is strictly prohibited.
- You must not interfere with the operation of the Services, including by attempting to access non-public areas, disrupting servers, or deploying malware or automated scripts.
- You are responsible for your interactions with other members. While we may provide safety tips or community guidelines, we do not control or guarantee the behavior of any member.
4. User Content and Intellectual Property
- You may submit content to the Services, including profile information, messages, event descriptions, photos, or feedback (collectively, "User Content"). You retain ownership of your User Content, subject to the licenses granted in these Terms.
- By submitting User Content, you grant CitySocializer a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to use, host, store, reproduce, modify, create derivative works from, publicly display, and distribute the User Content for the purposes of operating, promoting, and improving the Services.
- You represent and warrant that you have all necessary rights to submit the User Content and that it does not infringe or violate any third-party rights, privacy, or applicable laws.
- We may remove or disable access to any User Content that we believe violates these Terms or applicable law.
5. Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, disclose, and safeguard personal information. By using the Services, you consent to our collection and use of personal data in accordance with that policy.
6. Payments, Membership, and Real-World Activities
6.1 Overview
CitySocializer is an online platform designed to help people discover others nearby and arrange social activities together. We provide digital tools for communication, coordination, and community engagement.
We do not sell, organize, or guarantee any in-person events or physical experiences. By using CitySocializer, you understand that our service is limited to the digital coordination layer.
6.2 Membership and Digital Access
When you create an account or purchase a paid membership, you obtain access to the CitySocializer digital platform and its features. These may include:
- Creating and managing a user profile
- Browsing and joining online event listings
- Messaging other members through the app
- Participating in community features, feedback systems, and reputation tools
Your payment supports access to and maintenance of this online platform.
All digital access is considered delivered immediately upon successful signup or membership renewal.
6.3 What CitySocializer Does Not Sell
CitySocializer does not sell or provide:
- Admission, tickets, or entry to any real-world events
- Meals, drinks, travel, or other physical goods or services
- Professional hosting, guiding, or entertainment
- Any guarantee that in-person meetups will occur, match their descriptions, or produce any outcome
Any in-person meeting between members is a voluntary, member-to-member interaction. CitySocializer has no control over, and assumes no responsibility for, what happens outside the digital platform.
6.4 Hosts and Member Activities
Individuals who appear as “Hosts” on CitySocializer are community volunteers, not employees, agents, or representatives of CitySocializer.
They organize or suggest gatherings on their own initiative and without compensation from CitySocializer.
CitySocializer does not supervise or vet offline activities and provides no warranties regarding any event, venue, or participant.
6.5 Payments and Merchant of Record
All payments for CitySocializer memberships or digital features are processed securely through our Payment Provider (also referred to as the Merchant of Record).
This provider handles the billing, payment collection, invoicing, tax compliance, and refund requests in accordance with its own terms and policies.
CitySocializer does not directly collect or store your payment information.
By completing a purchase, you agree to the terms and privacy policy of the Payment Provider in addition to these Terms of Service.
6.6 Refunds
Because digital access is granted immediately upon purchase, all payments are considered final unless otherwise required by applicable law or permitted by our Payment Provider’s refund policy.
We may review refund requests on a discretionary basis but are under no obligation to provide refunds for reasons related to real-world events or other members’ behavior.
6.7 Member Responsibility and Conduct
Members are solely responsible for their own conduct, both online and offline.
When meeting others in person, you do so at your own discretion and risk.
CitySocializer does not conduct background checks, endorse members, or guarantee anyone’s intentions, behavior, or reliability.
We encourage all members to exercise common sense, respect, and personal safety in every interaction.
6.8 Platform Changes and Availability
CitySocializer may modify, suspend, or discontinue any digital feature or membership plan at any time.
Your membership grants access to the platform as it exists at the time of use; we make no promise of any specific quantity or type of real-world activities.
6.9 Limitation of Liability
To the fullest extent permitted by law, CitySocializer and its operators disclaim any liability arising from real-world interactions, events, or activities between members.
Our responsibility is limited solely to the digital service we provide: the online platform that enables discovery and coordination.
6.10 Acceptance of These Terms
By using CitySocializer, creating an account, or purchasing a membership, you acknowledge that you have read, understood, and agreed to these Terms of Service.
If you do not agree, please do not use the platform or purchase a membership.

7. Third-Party Services and Links
The Services may integrate with or link to third-party websites, applications, or services. CitySocializer does not control and is not responsible for those third parties. Your use of third-party services is subject to the terms and policies of those providers, and you assume all risks arising from your interactions with them.
8. Safety and Real-World Interactions
- CitySocializer encourages members to follow best practices for personal safety, including meeting in public places, informing friends or family of plans, and trusting personal instincts.
- We may offer optional safety features, such as reporting tools or community moderation, but we do not guarantee that any feature will prevent harm or misconduct.
- You acknowledge that any real-world gathering or interaction stemming from the Services is entirely at your own risk.
9. Disclaimers
- The Services are provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, quiet enjoyment, or non-infringement.
- CitySocializer does not guarantee that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that any user content will be accurate or reliable.
- We do not control the actions of members or third parties and are not responsible for the conduct, communications, or content of users or any events or outcomes that occur offline.
10. Limitation of Liability
- To the fullest extent permitted by law, CitySocializer will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party or member; (c) unauthorized access, use, or alteration of your transmissions or content; or (d) any real-world interactions or events related to the Services.
- In no event shall CitySocializer’s aggregate liability for all claims relating to the Services exceed the greater of (a) the amounts you paid to CitySocializer in the 12 months preceding the claim, or (b) USD $100.
11. Indemnification
You agree to indemnify, defend, and hold harmless CitySocializer, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (a) your access to or use of the Services, (b) your User Content, (c) your interactions with other members, or (d) your violation of these Terms or any applicable law.
12. Termination
- You may terminate your account at any time by following the instructions within the Services.
- We may suspend or terminate your account or access to the Services at any time, with or without notice, if we believe you have violated these Terms, engaged in inappropriate conduct, or for any other reason.
- Upon termination, all rights granted to you under these Terms will immediately cease, but the provisions that should reasonably survive termination will continue to apply, including Sections 4, 6, 9–13.
13. Modifications to These Terms
We may modify these Terms from time to time. If we make material changes, we will provide notice through the Services or by other reasonable means. Your continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms.
14. Governing Law and Dispute Resolution
- These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of laws principles.
- You agree that any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in England, except where applicable law requires otherwise.
- Before initiating formal proceedings, you agree to contact us and attempt to resolve the dispute informally. If the dispute is not resolved within 30 days, either party may pursue formal legal remedies.
15. Export and Compliance
You may not use, export, or re-export the Services in violation of any applicable export control laws or regulations. You agree to comply with all local laws regarding online conduct and acceptable content.
16. Miscellaneous
- These Terms constitute the entire agreement between you and CitySocializer with respect to the Services and supersede all prior agreements or understandings.
- If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
- Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
- You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms without restriction.
